A leading law firm is seeking a Corporate/Securities Paralegal with 7 to 10 years of experience for its New York, Washington DC, or Northern Virginia office.

The paralegal will support attorneys across a broad range of corporate transactions, including IPOs, mergers and acquisitions, entity formation, stock option plans, and venture capital financings, servicing clients across a wide range of industries. Day-to-day work includes managing and maintaining capitalization records using platforms such as Carta, Shareworks, or Pulley; drafting and filing federal and blue sky securities filings and notices; supporting the preparation of formation and initial financing documents; maintaining corporate records, including minute books and Board of Directors minutes; and assisting with closing document preparation, post-closing tasks, and registration filings.

Candidates should have a bachelor’s degree, preferably in business, accounting, or finance, along with 7 to 10 years of experience as a corporate/securities paralegal in a law firm setting and prior hands-on experience with a capitalization management platform. Strong knowledge of capitalization fundamentals and securities law, proficiency in Excel (including pivot tables and formulas), and the ability to handle highly confidential information are essential. An ECA designation or CEP certification is a plus. The salary range for this role is $165,000–$185,000.
